Terms of Service

1. Agreement to Terms

By accessing or using Office AI ze ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Office AI ze is a multi-tenant SaaS platform that provides:

• AI-powered contract parsing and analysis
• Meeting transcription and task generation
• Email categorization and prioritization
• Calendar and task management
• Integration with third-party services (Google, Microsoft, Trello, Slack, etc.)
• Semantic search and document indexing

The Service uses artificial intelligence (AI) models, including OpenAI's GPT and Whisper, to process your business data.

3. User Accounts

3.1 Account Registration

To use the Service, you must:

• Be at least 18 years old
• Provide accurate, current, and complete registration information
• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account

3.2 Organization Accounts

You can create or join organizations. Organization owners have full control over organization data and members. By joining an organization, you grant the organization access to data you create within that organization's scope.

3.3 Account Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Use the Service for illegal activities
• Fail to pay for services
• Abuse our AI systems or exceed fair use limits

4. Credits & Pricing

4.1 Credit System

AI-powered features consume credits:

• 1 credit = €0.10 EUR ($0.10 USD)
• Contract parsing: ~2-5 credits per document
• Meeting transcription: ~3-10 credits per hour
• Email categorization: ~0.5-2 credits per batch

4.2 Free Credits

New users receive free welcome credits. Free credits are non-transferable and expire according to the terms specified at the time of grant.

4.3 Purchasing Credits

• Credits are purchased via PayPal
• Purchased credits do not expire
• Refunds available within 14 days if credits unused
• Prices subject to change with 30 days notice

4.4 No Refunds for Used Credits

Credits consumed for AI processing are non-refundable, as they incur third-party costs (OpenAI API charges).

5. AI Processing & Third-Party Services

5.1 OpenAI Processing

• Your documents are sent to OpenAI's API for processing
• OpenAI states they do not use API data to train models
• OpenAI retains data for 30 days for abuse monitoring
• See OpenAI's Terms of Use and Privacy Policy for details

5.2 External Integrations

When you connect third-party services:

• You grant us permission to access data via OAuth
• We sync data according to your integration settings
• You can revoke access at any time
• Each integration is governed by that provider's terms

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for illegal activities or fraudulent purposes
• Upload malware, viruses, or malicious code
• Reverse engineer, decompile, or disassemble the Service
• Scrape, crawl, or index the Service without permission
• Share your account credentials with others
• Attempt to bypass credit systems or security measures
• Use the Service to process sensitive personal data without proper safeguards (e.g., medical records, financial data)
• Overload or interfere with Service infrastructure
• Resell or redistribute the Service without authorization

7. Intellectual Property

7.1 Your Content

You retain all rights to content you upload (contracts, documents, meeting recordings). By uploading content, you grant us a license to process it to provide the Service.

7.2 Our Platform

The Service, including its code, design, features, and branding, is owned by Innov-AI-tive GmbH and protected by copyright, trademark, and other intellectual property laws.

7.3 AI-Generated Content

Content generated by AI (summaries, extracted data, etc.) is provided to you. However, you acknowledge that AI-generated content may be inaccurate and should be reviewed before use.

8. Data Privacy & Security

We take data security seriously. However, no system is 100% secure. You acknowledge that you use the Service at your own risk. See our Privacy Policy for details on how we handle your data.

8.1 Data Backups

We perform regular backups, but are not responsible for data loss due to user error, system failure, or third-party issues. You are responsible for maintaining your own backups of critical data.

8.2 Data Export & Deletion

• You can export your data in Excel/JSON format at any time
• You can delete your account, which removes all personal data
• Backups are retained for 30 days after deletion
• Transaction records retained for 7 years (legal requirement)

9. Service Availability

9.1 Uptime

We strive for 99% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or technical issues.

9.2 Third-Party Dependencies

The Service depends on third-party providers:

• OpenAI API (for AI processing)
• Google/Microsoft APIs (for integrations)
• PayPal (for payments)

We are not responsible for outages or issues caused by these third parties.

10. Disclaimers & Limitations of Liability

10.1 No Warranty

We disclaim all warranties, including:

• Accuracy of AI-extracted data
• Fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNOV-AI-TIVE GMBH SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Data loss or corruption
• Business interruption or downtime

Our total liability is limited to the amount you paid us in the 12 months before the claim.

11. Indemnification

You agree to indemnify and hold harmless Innov-AI-tive GmbH from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of third-party rights
• Content you upload to the Service

12. Governing Law & Jurisdiction

These Terms are governed by German law. Any disputes shall be resolved in the courts of Nuremberg, Germany. EU consumers may also bring claims in their country of residence.

13. Changes to Terms

We may update these Terms from time to time. Significant changes will be announced via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

14. Termination

14.1 By You

You may terminate your account at any time from account settings. Upon termination:

• Your data will be deleted within 30 days
• Unused purchased credits may be refunded (prorated)
• Free credits are forfeited

14.2 By Us

We may terminate your account if you violate these Terms. In case of termination:

• You will receive 14 days notice (unless termination for abuse)
• You can export your data during this period
• Unused purchased credits refunded (less processing fees)
