By accessing or using Tooliki services provided by Tooliki, you agree to these Terms of Service.

2. Service Description

Tooliki provides a B2B workflow platform for field data collection, inspections, evidence capture, AI-assisted processing, and report generation.

3. Account Registration and Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring authorized access by your personnel
• Providing accurate and lawful data

4. Customer Data and Ownership

You retain ownership of your organization data. You grant us a limited right to host and process this data solely to deliver the service.

• We process personal data under the Privacy Policy and applicable data protection law
• You are responsible for legal basis and instructions for your uploaded field data

5. Subscriptions, Billing, and Taxes

• Subscriptions are billed in advance according to your selected billing cycle
• Fees are non-refundable unless required by mandatory law or explicit agreement
• You are responsible for applicable taxes, duties, and withholding obligations
• Failure to pay may result in suspension until payment is resolved

6. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to the system
• Upload malicious code or viruses
• Interfere with the operation of the service
• Bypass tenant isolation, rate limits, or security controls

7. AI Features and Output

AI features provide assistance only. You remain responsible for verifying outputs, compliance decisions, and final reports. AI output does not replace legal, engineering, or regulatory judgment.

Where AI assistance is enabled, relevant inspection data may be processed by authorized third-party AI subprocessors (including OpenAI) through Tooliki backend services. Such processing is subject to user consent and our Privacy Policy.

8. Intellectual Property

Tooliki software, trademarks, and platform content are protected by intellectual property laws. Except for rights expressly granted, no license is transferred to you.

9. Availability, Warranty Disclaimer, and Liability

• We aim for high availability but do not guarantee uninterrupted operation
• Services are provided on an as-available basis unless otherwise agreed in writing
• To the extent permitted by law, indirect or consequential damages are excluded
• Nothing limits liability where exclusion is not legally permitted

10. Suspension and Termination

We may suspend access for security incidents, material breach, or non-payment. You may stop using the service at any time. Contractual obligations that by nature survive termination remain in effect.

11. Governing Law and Venue

Unless otherwise required by mandatory law, these terms are governed by applicable law at our registered office, and disputes are handled by the competent courts of that jurisdiction.
